Key Responsibilities:

­­MediaMath seeks to hire a highly motivated Associate General Counsel to provide first-class legal support for data and technology transactions globally. The Associate General Counsel will serve as the lead lawyer supporting the EMEA and APAC business for the structuring and negotiation of data and technology-related partner and vendor agreements, as well as work with rest of the legal team to support the Company’s general legal activities, including both commercial transactions such as client SaaS licensing agreements and corporate transactions such as M&A, debt and equity financings; investments, labor and employment matters and compliance. Candidates should be creative problem solvers who take pride in personal excellence, with a proven ability to thrive in an environment with frequently shifting priorities that requires communication and collaboration with colleagues across multiple geographies and departments.

You will:

  • Serve as the global lead counsel for the EMEA and APAC business advising the partnerships, data acquisition, media buying, product and analytics/reporting teams on all commercial matters.
  • Review, negotiate and draft a broad range of agreements relating to the company’s various technology products, including its demand side platform and data management platform.
  • Provide legal support to the development teams for the development and roll-out of products and services.
  • Review, draft, and negotiate a wide variety of commercial agreements, including master services, software licensing, SaaS, professional services, marketing and vendor agreements globally.
  • Manage all international corporate housekeeping.
  • Manage and advise on the company’s patent and trademark portfolio and other IP matters, including open source.
  • Work with the development teams to review open source software licenses.
  • Work closely with the company’s privacy and data policy and governance teams in support of commercial transactions globally.
  • Collaborate with other members of the legal department to support the Company's general corporate legal activities, including providing support for mergers, acquisitions, joint ventures, partnerships, equity investments and other sophisticated transactions.

You have:

  • Law degree from a highly regarded law school and be admitted to at least one state bar.
  • 10+ years of experience drafting, revising and negotiating contracts globally, with at least 5 years of data and/or technology transactional experience, in a law firm and/or in-house.
  • Experience as an in-house attorney for a technology, online advertising, software and/or venture backed start-up company preferred.
  • Experience building a highly engaged, high-performing, growth-oriented commercial legal team
  • Experience leading companies through financing and M&A transactions; IPO experience would be a plus
  • Familiarity with data privacy and security a strong plus.
  • Excellent customer service and interpersonal skills.
  • Exceptional analytical and problem solving skills with the ability to think strategically and provide business-practical legal advice.
  • Strong organizational skills, including ability to manage timelines and balance multiple deadlines.
  • Excellent written and oral communication skills, including a clear and concise drafting style.
  • Ability to work under pressure in a fast-paced, rapidly changing environment.
